1. Acceptance of Terms
By installing or using ShieldCommerce (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Service.
2. Description of Service
ShieldCommerce provides AI-powered fraud prevention and chargeback defense services for Shopify merchants. The Service includes real-time order risk scoring, customer risk profiling, CE 3.0 evidence collection, chargeback response assistance, and analytics reporting.
3. Account and Eligibility
- You must have an active Shopify store to use ShieldCommerce.
- You are responsible for maintaining the security of your Shopify account.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You represent that the information you provide is accurate and complete.
4. Pricing and Billing
- Subscription fees are billed through the Shopify Billing API.
- Plan pricing is listed on our pricing page and is subject to change with 30 days' notice.
- The free Detect plan is available indefinitely with a 50 orders/month limit.
- Paid plans can be cancelled at any time and will revert to the free plan.
- Win Back recovery fees (20% of recovered amount) are billed separately upon successful chargeback dispute resolution.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or disassemble the Service
- Use the Service to process fraudulent orders or facilitate fraud
- Share your account access with unauthorized third parties
- Exceed your plan's order limits in a way that abuses the Service
- Interfere with or disrupt the Service infrastructure
6. Fraud Scoring Disclaimer
ShieldCommerce provides risk scores and fraud signals as decision-support tools. Risk scores represent statistical probabilities, not certainties. You are solely responsible for deciding how to act on risk assessments. ShieldCommerce does not guarantee the accuracy of fraud predictions and is not liable for losses resulting from fraudulent orders that are not detected, or from legitimate orders that are incorrectly flagged.
The default automation mode is “flag only” — meaning orders are flagged for your review but not automatically cancelled unless you explicitly enable auto-cancellation in your settings.
7. Chargeback Services Disclaimer
ShieldCommerce collects CE 3.0 evidence and assists with chargeback responses, but does not guarantee the outcome of any dispute. Win rates depend on evidence quality, card network rules, and issuing bank decisions. The Win Back fee applies only to successfully recovered chargebacks.
8. Intellectual Property
The Service, including its scoring algorithms, user interface, documentation, and brand assets, is the intellectual property of ShieldCommerce. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business operations.
9. Limitation of Liability
To the maximum extent permitted by law, ShieldCommerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your use of the Service at any time by uninstalling the app from your Shopify admin. Upon termination, your data will be retained for 30 days and then deleted, except for anonymized data used for model improvement.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the European Union and the applicable member state where ShieldCommerce operates, without regard to conflict of law provisions.
